THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION IN SECTION 10 WHICH PROVIDES THAT YOU WILL RESOLVE ALL DISPUTES THROUGH MANDATORY AND BINDING ARBITRATION, UNLESS YOU ARE IN A STATE IN WHICH THE COURTS WILL NOT PERMIT YOU TO CONSENT TO BINDING ARBITRATION. THIS MEANS THAT, IN THE EVENT OF A DISPUTE WITH THE SPONSOR OF THIS CONTEST, YOU WILL NOT BE ABLE TO HAVE THAT DISPUTE RESOLVED BY A JUDGE OR A JURY. ADDITIONALLY, IN SECTION 10 OF THESE TERMS, YOU ALSO WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTIONS AGAINST THE SPONSOR OF THIS CONTEST. PLEASE CAREFULLY READ SECTION 10.

These official contest rules (the “Rules”) are provided by the proprietor of the website https://www.sportsbettingdime.com/ (such proprietor, “Sponsor”). The Rules apply to the “2020 Bracket Challenge” and “Weekly Twitter Contest” (together, the “Contests” and individual a “Contest”) administered by the Sponsor through the website https://www.sportsbettingdime.com/  (the “Website”) and associated social media accounts, unless stipulated otherwise. Contest entrants are responsible for reviewing and understanding these Rules prior to entering a Contest. By entering into a Contest you accept the terms and conditions of these Rules and agree to be legally bound by them.

The Contests are intended only for residents where offering and use of the Website and participation in the Contests is lawful. The Contests are governed by the law of the Republic of Panama.

Official rules

  1. Eligibility
    1. Subject to these Rules, to be eligible to enter a Contest and to be eligible to win the Prize, a person must be, at the time of entry into a Contest:
      1. a user of the Website who has agreed to the Terms of Service of the Website (the “Terms of Service”) and is not in breach of the Terms of Service either at the time of entry, before the time of entry, or during the Contest Period set out below;
      2. no younger than eighteen (18) years of age or no younger than the age of majority in your jurisdiction, whichever is older;
      3. a permanent, legal resident of the United States of America and in a jurisdiction where offering and use of the Website and participation in the Contest is lawful; and
      4. a natural person.
    2. Any person who is not a permanent, legal resident of the United States of America is ineligible to enter the Contests and ineligible to win the Prize.
    3. You are ineligible to enter the Contests and ineligible to win the Prize if the Sponsor has banned you from participating in this Contest or from the Website.
    4. Employees, officers, and directors (including immediate family members and members of the same household of such persons, including common law spouses) of the Sponsor, each of their affiliated companies or agents, and each of their respective advertising or promotional agencies, are not eligible to enter the Contests.
    5. The Sponsor shall have the right at any time to require proof of identity and/or eligibility to participate in any Contest. Failure to provide such proof may result in disqualification. All personal and other information requested by and supplied to the Sponsor for the purpose of the Contests must be truthful, complete, accurate and in no way misleading.
    6. The Sponsor reserves the right, in its sole and arbitrary discretion, to disqualify any entrant for any reason whatsoever.
  2. Contest Period
    1. The 2020 Bracket Challenge begins March 15, 2020, and the winner will be announced by April 15, 2020. The Sponsor reserves the right in its sole and arbitrary discretion to cease holding the Contests at any time.
    2. The Weekly Twitter Contest will begin March 21, 2020, and all winners will be announced by April 15, 2020. The Sponsor reserves the right in its sole and arbitrary discretion to cease holding the Contests at any time.
    3. Sponsor may run multiple Contests concurrently. Each Contest is independent and separate from any other Contest, including, without limitation, for the purposes of making entries, selecting winners, and the awarding of prizes. Participation in one Contest does not constitute participation in any other Contest.
    4. The Contest computer system is used to govern all computer and time-related aspects of the Contests and is the official time-keeping device for the Contests.
  3. How to enter and participate in a Contest.
    1. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER A CONTEST. To enter a Contest (Bracket Challenge):
      1. Fill out an interactive bracket at sportsbettingdime.com
      2. Provide your email address and submit your bracket
      3. Read the Rules
    2. Once entered into a Contest, the predictions from your bracket will be graded against the specified sporting events (“Sports Matches”). No real money may be wagered as part of a Contest. Consequently, no real money winnings will be paid out except as provided in Sections 4 and 5. Upon receipt of your successfully submitted bracket, you will receive a message indicating that your submission was received.
    3. To be eligible to win a Contest’s prize, an entrant must score points according to the following system by the end of the Contest Period.
      1. As the tournament progresses, Entrants accumulate points for every correct pick. The number of points awarded increases with each round of the tournament:
        1. First Round – 1 point per correct pick
        2. Second Round – 2 points per correct pick
        3. Sweet 16 – 4 points per correct pick
        4. Elite Eight – 8 points per correct pick
        5. Final Four – 16 points per correct pick
        6. Championship – 32 points for correctly picking tournament winner
    4. Entrants are limited to one entry per Contest. Submission of multiple brackets to enter the same Contest will result in disqualification from the Contest.
    5. NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER A CONTEST. To enter a Contest (Weekly Twitter Contest):
      1. Follow Sports Betting Dime (@SBD) on Twitter
      2. Tweet a response to a contest-related prompt @SBD
      3. Read the Rules
    6. Once entered into a Contest, winners will be selected at random throughout the contest period
    7. Contest entrants are limited to one entry per Contest.
  4. Prize
    1. The prize available to be won, if it is a non-cash prize, its approximate retail value (if any), will be as described on the applicable Contest webpage (the “Prize”).
    2. You are responsible for all costs not expressly described as being included as part of the Prize, including, without limitation, the cost of procuring any property or services necessary to access or use the Prize. It is your sole responsibility to ensure you are able to receive the Prize.
    3. The Sponsor will not be held responsible in any manner whatsoever should the winner (a) not be satisfied in any way with the Prize; or (b) be incapable of accessing the Prize.
    4. The Prize must be accepted as awarded without substitution, and non-cash Prizes are not transferable or for resale and have no cash surrender value. The Sponsor reserves the right, in its sole and absolute discretion, and for any reason whatsoever, to substitute the Prize for one of approximately equal or greater value without liability.
    5. THE WINNER IS SOLELY RESPONSIBLE FOR PAYING ALL TAXES AND FOR ALL TAX REPORTING ASSOCIATED WITH THE RECEIPT OR USE OF THE PRIZE. IF YOU ARE THE WINNER, YOU AGREE TO COOPERATE WITH THE SPONSOR’S REASONABLE REQUESTS IN CONNECTION WITH COMPLETION AND SUBMISSION OF APPLICABLE TAX FORMS AND ANY OTHER REQUIRED TAX FILINGS OR COMPLIANCE MATTERS AND CONSENT TO THE DISCLOSURE TO THE SPONSOR OF YOUR PERSONAL INFORMATION IN CONNECTION WITH THE SAME. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, FOR TAX REPORTING PURPOSES, IF THE WINNER IS A RESIDENT OF THE U.S. THEY MAY BE REQUIRED TO PROVIDE THE SPONSOR WITH A VALID TAX IDENTIFICATION NUMBER OR SOCIAL SECURITY NUMBER AND THE SPONSOR MAY ISSUE AN IRS FORM 1099-MISC IN THE WINNER’S NAME.
    6. In the event of a Cash Prize, the Sponsor shall use PayPal as a means of transferring the funds to the winner. If the Sponsor is unable to transfer funds to the winner due to the winner’s failure to provide necessary details of a valid PayPal account, the Prize shall be deemed forfeited in accordance with section 4.16. 
  5. Selection of Winner (Bracket Challenge)
    1. The potential winner of a Contest (Bracket Challenge) is the entrant with the highest accumulated points at the conclusion of the Contest Period (the “Selected Entrant”). If entrants have tied for the highest points at the conclusion of the Contest Period, then each such tied entrant will be declared a potential winner and will split the relevant cash prize.
    2. Odds of winning the Prize depends on: (a) the total number of eligible entries received during the Contest Period; (b) and entrant’s ability to correctly predict the outcomes of Sports Matches.
    3. Each Selected Entrant will be contacted at the email address associated with their Account (each a “Notice”) immediately upon the conclusion of the Contest Period. You agree that you will be solely responsible for any costs you incur in connection with Notices you receive. Notice is deemed to have occurred immediately upon sending the email to the Selected Entrant.
    4. If a Selected Entrant cannot be contacted within two days after the end of the Contest Period, or if a Selected Entrant or winner has been disqualified, his/her entry will be disqualified and the Prize will be split among all other Selected Entrants who have been declared winners, or if there are no other Selected Entrants who have been declared winners, then the eligible entrant with the next highest points will become the Selected Entrant and the process above will be repeated until such time as contact is made with a Selected Entrant or there are no more eligible entrants.
    5. The Sponsor is not responsible for: (a) lost, undeliverable, rejected, illegible, corrupted, misappropriated, or misdirected Notices; (b) telecommunication or electrical malfunctions, unavailability, degradation, failures, or errors; (c) incorrectly collected information; or (d) human interference.
    6. Prior to being declared a winner, a Selected Entrant:
      1. Must, if requested by the Sponsor, sign and return the Sponsor’s Declaration, Liability, and Publicity Release Form, in the form approved by the Sponsor (the “Release Form”) by no later than 72 hours after delivery of the Release Form (the “Release Deadline”);
      2. agree to accept the Prize as awarded; and
      3. must have complied with all of these Rules.
    7. The Release Form is deemed to have been delivered to the Selected Entrant immediately upon emailing the Release Form to the Selected Entrant.
    8. If the bracket associated with the winning number of points is shared by more than one person, all such persons will be bound by these Rules but only the authorized account holder of the associated email address (or other applicable user account) will be deemed the winner. If the Sponsor is unable to determine which person is the authorized account holder of the Account (or other user account) associated with the winning number of points, or if there is more than one authorized account holder of the Account, then such entrant will be disqualified from the Contest and their Prize will be forfeited without any recourse or refund. In such a circumstance, the Sponsor is not under any obligation to select another winner.
    9. The Sponsor may disqualify a Selected Entrant or winner from the Contest and the Prize will be forfeited without any recourse or refund if, in the sole and arbitrary discretion of the Sponsor, the Sponsor is of the belief that:
      1. the Selected Entrant’s Account (or other applicable user account) associated with the winning number of points was created by automatic, scripted, robotic, or programmed means;
      2. the Selected Entrant’s Account is operated by a bot;
      3. the Selected Entrant has cheated in the Contest;
      4. the owner or control person of the Account (or other applicable user account) has entered the Contest with additional accounts;
      5. the Selected Entrant’s predictions were made with the assistance of software, hardware, or other tools, or were submitted through automated means;
      6. the Selected Entrant has failed to meet any of the eligibility requirements set forth in section 1; or
        If a person is disqualified under this Section 5.9, the process described in section 5.4 will occur.
    10. If a winner does not accept their prize within 72 hours of a delivery attempt by the Sponsor or, in the event of a cash Prize, fails in accordance with section 4.6 to provide details necessary for transferring funds, the unaccepted portion of the prize will be deemed forfeited and the Sponsor will have no further obligation with respect to awarding that prize to any other entrant.
  6. Selection of Winner (Weekly Twitter Contest)
    1. The potential winner of a Contest (Weekly Twitter Contest) is selected at random by the contest sponsor (the “Selected Entrant”). The potential winner of a Contest (Weekly Twitter contest) is selected at random during the Contest Period (the “Selected Entrant”).
    2. Odds of winning the Prize depends on the total number of eligible entries received during the Contest Period
    3. Each Selected Entrant will be contacted at the Twitter Account used to submit their entry (each a “Notice”) at any point during the Contest Period. You agree that you will be solely responsible for any costs you incur in connection with Notices you receive. Notice is deemed to have occurred immediately upon sending a direct Twitter message to the Selected Entrant.
    4. If a Selected Entrant cannot be contacted within two days after the end of the Contest Period, or if a Selected Entrant or winner has been disqualified, his/her entry will be disqualified and the Prize will be split among all other Selected Entrants who have been declared winners.
    5. The Sponsor is not responsible for: (a) lost, undeliverable, rejected, illegible, corrupted, misappropriated, or misdirected Notices; (b) telecommunication or electrical malfunctions, unavailability, degradation, failures, or errors; (c) incorrectly collected information; or (d) human interference.
    6. Prior to being declared a winner, a Selected Entrant:

If the Twitter account associated with the Selected Entrant is shared by more than one person, all such persons will be bound by these Rules but only the authorized account holder of the associated Twitter account (or other applicable user account) will be deemed the winner. If the Sponsor is unable to determine which person is the authorized account holder of the Account (or other user account) associated with the winning number of points, or if there is more than one authorized account holder of the Account, then such entrant will be disqualified from the Contest and their Prize will be forfeited without any recourse or refund. In such a circumstance, the Sponsor is not under any obligation to select another winner.
    9. The Sponsor may disqualify a Selected Entrant or winner from the Contest and the Prize will be forfeited without any recourse or refund if, in the sole and arbitrary discretion of the Sponsor, the Sponsor is of the belief that:
      1. the Selected Entrant’s Twitter account (or other applicable user account) was created by automatic, scripted, robotic, or programmed means;
      2. the Selected Entrant’s Twitter Account is operated by a bot;
      3. the Selected Entrant has cheated in the Contest;
      4. the owner or control person of the Twitter Account (or other applicable user account) has entered the Contest with additional accounts;
      5. the Selected Entrant’s submission was made with the assistance of software, hardware, or other tools, or were submitted through automated means;
      6. the Selected Entrant has failed to meet any of the eligibility requirements set forth in section 1; or
        If a person is disqualified under this Section 5.9, the process described in section 5.4 will occur.
    10. If a winner does not accept their prize within 72 hours of a delivery attempt by the Sponsor or, in the event of a cash Prize, fails in accordance with section 4.6 to provide details necessary for transferring funds, the unaccepted portion of the prize will be deemed forfeited and the Sponsor will have no further obligation with respect to awarding that prize to any other entrant.

 

  1. Release & Indemnity
    1. BY ENTERING IN A CONTEST, YOU HEREBY RELEASE, HOLD HARMLESS, AND FOREVER DISCHARGE THE SPONSOR AND ITS AFFILIATED AND RELATED COMPANIES, BUSINESS PARTNERS, ADVERTISING AND PROMOTIONAL AGENCIES, AND EACH OF THEIR (INCLUDING, THE SPONSOR’S) RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUCCESSORS AND ASSIGNS AND ALL OTHERS ASSOCIATED WITH THE DEVELOPMENT, ORGANIZATION, AND/OR EXECUTION OF THE CONTEST (COLLECTIVELY, THE “RELEASEES”), FROM AND AGAINST ANY AND ALL MANNER OF ACTION, CAUSES OF ACTION, SUITS, DEBTS, COVENANTS, CONTRACTS, LIABILITIES, CLAIMS, AND DEMANDS, INCLUDING LEGAL FEES AND EXPENSES, WHATSOEVER, (COLLECTIVELY, “CLAIMS”) INCLUDING BUT NOT LIMITED TO, CLAIMS BASED ON NEGLIGENCE, BREACH OF CONTRACT, AND FUNDAMENTAL BREACH, AND LIABILITY FOR PHYSICAL INJURY, DEATH, OR PROPERTY DAMAGE, WHICH YOU OR YOUR ADMINISTRATORS, HEIRS, SUCCESSORS, OR ASSIGNS MIGHT HAVE OR COULD HAVE, BY REASON OF OR ARISING OUT OF: (A) YOUR PARTICIPATION IN ANY CONTEST OR THE AWARDING, ACCEPTANCE, POSSESSION, USE, OR ENJOYMENT OF ANY PRIZE, AND WHERE APPLICABLE, TRAVELING TO, PREPARING FOR, OR PARTICIPATING IN, ANY CONTEST‐RELATED OR PRIZE‐RELATED EVENT OR ACTIVITY; (B) THESE RULES; (C) THE WEBSITE;  OR (D) THE PUBLICITY RIGHTS GRANTED TO THE SPONSOR BY YOU (the “Publicity Rights”).
    2. YOU SPECIFICALLY ACKNOWLEDGE THAT YOU UNDERSTAND THAT THERE MAY BE SERIOUS RISKS OF BODILY INJURY, DEATH, OR PROPERTY DAMAGE ASSOCIATED WITH THE ACCEPTANCE, POSSESSION, OR USE OF THE PRIZE OR ATTENDANCE AT ANY EVENT OR PARTICIPATION IN CERTAIN PRIZE‐RELATED ACTIVITIES, AND YOU VOLUNTARILY ASSUME THESE RISKS. PRIZES ARE AWARDED “AS-IS” WITH ALL FAULTS AND WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPIED (INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE).
    3. WITHOUT LIMITING SECTIONS 5.1, 5.2, 6.1 OR 6.2, IN NO EVENT SHALL THE RELEASEES AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO ANY CONTEST, THESE RULES, THE WEBSITE, THE PUBLICITY RIGHTS,  OR ANY PRIZE WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE EXCEED $1.00. THE FOREGOING LIMITATIONS SHALL APPLY EVEN IF YOUR REMEDIES UNDER THESE RULES FAIL OF THEIR ESSENTIAL PURPOSE. 
    4. By entering into a Contest, you agree to indemnify, defend, and hold harmless the Releasees from any and all losses, damages, liabilities, deficiencies, actions, judgments, interest, awards, penalties, fines, costs or expenses of whatever kind, including reasonable legal fees and the cost of enforcing any right to indemnification hereunder and the cost of pursuing any insurance providers (collectively, “Losses”) arising out of or resulting from: (a) your participation in the Contest; (b) your receipt, possession, loss, or use of the Prize; (c) the publicity rights granted to the Sponsor by you; (d) any noncompliance by you with any of the Rules or the Website’s Terms of Service; or (e) the use of your entry by the Sponsor.
    5. The Selected Entrant agrees to cooperate in any investigations by the Sponsor to confirm his/her eligibility and to help ensure that the use of such their information in advertising or publicity for the Contest will not bring the Sponsor into public disrepute, contempt, scandal or ridicule or reflect unfavourably on the Contest or the Sponsor as determined by the Sponsor in its sole discretion.
  2. Publicity Release
    1. By entering in a Contest, entrant’s consent to the use of their name, address (city, state and country), email address, social media handle, likeness, voice, comments, and image (whether by video or photo) (collectively, “Personality”), without additional compensation or notice, in connection with the administration of the Contest and any advertising, promotion, or publicity carried out now or in the future by or on behalf of the Sponsor.
  3. General
    1. You agree to: (a) read, abide and be bound by these Rules, including all eligibility requirements; (b) abide by and be bound by all decisions of the Sponsor, made in its sole and arbitrary discretion, which shall be final and binding in all matters relating to Contests; and (c) waive any rights to claim ambiguity regarding these Rules. Entrants who have not complied with the Rules are subject to disqualification.
    2. The Sponsor reserves the right, in its sole and arbitrary discretion, to cancel, terminate, modify, or suspend in whole or in part any Contest at any time and in any way, without prior notice. Without limiting the foregoing, if for any reason a Contest is not capable of running as originally planned, for example as a result of tampering or infection by a computer virus, the Sponsor reserves the right to cancel such Contest and conduct a random draw from all eligible entrants in such Contest.
    3. The Sponsor reserves the right, in its sole and arbitrary discretion, to amend or modify these Rules, or modify, cancel or suspend any Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of a Contest.
    4. The Sponsor does not assume any responsibility for and are not responsible for (i) the incorrect or inaccurate capture of entry information;  (ii) entries that fail to comply with the Rules; (iii) any loss, damage, or claims caused by the Prize or the Contest itself; (iv) your inability to access the Prize; or (v) any failure of the Website during the Contest Period, including any problems, human or technical errors, printing or typographical errors, lost, delayed or garbled data or transmissions, omissions, interruptions, deletions, defects or failures of any telephone or computer lines or networks, technical malfunctions of any computer online systems, computer equipment, servers, access providers, software, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any website, or any combination thereof including any injury or damage to an entrant’s or any other person’s computer relating to or resulting from downloading any material connected to the Contest, all of which may affect a person’s ability to participate in the Contest.
    5. The Sponsor does not assume any responsibility for and are not responsible for electronic communications which are undeliverable as a result of any form of active or passive filtering of any kind or insufficient space in an entrant’s mailbox to receive e-mail messages, or for late, lost, illegible, incomplete, falsified, damaged, misdirected, mutilated, garbled, or incomplete entries, which will be void, or for inability or failure to receive the Release Forms.
    6. Entry materials/data that have been tampered with or altered are void.
    7. Entries generated by a script, macro, or other automated or tool assisted means will be disqualified. Entries that are incomplete, garbled, corrupted, or unintelligible for any reason, including, but not limited to, computer or network malfunction or congestion, are void and will not be accepted.
    8. Any attempt to deliberately damage any website or to undermine the legitimate operation of a Contest is a violation of criminal and civil laws. Should such an attempt be made, the Sponsor reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal prosecution, and to disqualify an entrant from the Contests or any other promotion conducted by the Sponsor now or in the future. In the event it is determined that an entrant has entered or participated a Contest in a manner contrary to the Rules, the entrant will be disqualified.
    9. If, due to any technical, production or other error, more prizes are legitimately claimed or awarded than are described in the Rules, the number of prizes identified in the Rules will be awarded in a random drawing from all such prize claims received.
    10. In no event will the Sponsor be responsible or liable for more than the stated number of prizes described in the Rules.
    11. All entries become the property of the Sponsor and none will be returned.
    12. The Contests are subject to all applicable laws.
    13. If any provision of these Rules is invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other provision of these Rules, or invalidate or render unenforceable such provision in any other jurisdiction.
    14. The Contests are void where prohibited by law. All issues and questions concerning the construction, validity, interpretation, and enforceability of the Rules, or the rights and obligations of entrants, the Sponsor in connection with the Contests, shall be governed by and construed in accordance with the laws of the Republic of Panama, without regard to conflicts of law principles.
    15. The approximate retail value of the Prize as stated by the Sponsor in point of sale advertising, and other advertising, promotion materials, and/or in these Rules is subject to price fluctuations in the consumer marketplace based on, among other things, the passage of time between the date the approximate retail value are stated by the Sponsor and the date the prize is awarded or redeemed. If, at the time a Prize is redeemed or awarded, the actual prevailing retail purchase price for the Prize is less than the approximate retail value stated by the Sponsor in point of sale, television, print, or online advertising, promotion materials, on the Website, and/or in these Rules, the Prize winner will not be entitled to a check or cash for the price difference.
    16. In the event of any discrepancy or inconsistency between the terms and conditions of these Rules and disclosures or other statements contained in any Contest-related materials or content, including, but not limited to: a Contest entry form, and/or point of sale, television, print or online advertising, and the Website; the terms and conditions of these Rules shall prevail, govern and control.
    17. You waive any right to claim ambiguity of these Rules.
    18. Information provided as part of a Contest, such as betting odds or handicapping, must not be used for the purposes of real money wagering, betting, or gambling.
  4.  Privacy
    1. The Sponsor respects each entrant’s right to privacy. By entering a Contest and voluntarily providing personal information, you consent and agree to the collection, use, and disclosure of your information for the administration of the Contest in accordance with the applicable privacy policies of the Sponsor available at https://www.sbdplay.com/privacy-policy/ .
  5. Disputes
    1. Binding Arbitration. If the courts in your state will not permit you to consent to binding arbitration, then any legal suit, action, or proceeding arising out of or related to these Rules or a Contest will be instituted exclusively in the courts of the Republic of Panama and you irrevocably submit to the exclusive jurisdiction of such courts in any such suit, action, or proceeding. Otherwise, you agree that in the event of any dispute between you and Sponsor arising out of or relating to these Rules or a Contest, that you and Sponsor shall consult and negotiate with each other and, recognizing your mutual interests, attempt to reach a solution satisfactory to both you and Sponsor. If you and Sponsor do not reach settlement within a period of 60 days, then such dispute shall be referred to and finally resolved by mandatory and binding arbitration Panama Conciliation and Arbitration Centre in accordance with its procedural rules (the “Arbitration Rules”). The place of arbitration shall be the Republic of Panama unless otherwise required by the Arbitration Rules. The number of arbitrators shall be set to one unless otherwise required by the Arbitration Rules. The language of the arbitration will be English unless otherwise required by the Arbitration Rules. The existence and content of the arbitration proceedings, including documents submitted by the parties, correspondence to and from the Panama Conciliation and Arbitration Centre , correspondence to and from the arbitrator, and orders and awards issued by the sole arbitrator, shall remain strictly confidential and shall not be disclosed to any third party (except for professional advisors) without the express written consent from the other party unless: (a) (i) the disclosure to the third party is reasonably required in the context of conducting the arbitration proceedings; and (ii) the third party agrees unconditionally in writing to be bound by the confidentiality obligation stipulated herein; or (b) such disclosure is required by applicable law or court order. Notwithstanding the foregoing, Sponsor may seek injunctive or other equitable relief to protect its rights, and for any other purpose, in any court of competent jurisdiction.
    2. Waiver. You hereby agree to waive any right you may have to commence or participate in any class action against Sponsor related to any claim and, where applicable, you also agree to opt out of any class proceedings against Sponsor. Where applicable, if a dispute arises between us and you, you hereby waive any right you may have to participate in a trial by jury with respect to that dispute.
